Corporate Paralegal

job summary:
Our Client's Corporate Department is seeking a paralegal with at least 5 years of current or recent large law firm experience to join its Los Angeles office. Candidates must be experienced in the following areas:

·Mergers and acquisitions, including: organizing data rooms and coordinating due diligence; preparing and maintaining closing checklists; drafting board and stockholder consents; and coordinating signings and closings

·Equity financings, including: LLC financings; venture capital financings; and experience preparing and coordinating securities filings, including Form ID, Form D and state blue sky filings

·General corporate, including: entity formation; drafting board and stockholder consents and meeting minutes; preparing stock certificates; drafting documents for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and LLCs; DocuSign; and Carta and other cap table management tools
