Responsibilities
Contract Drafting and Negotiation
- Drafting, reviewing, and negotiating a variety of commercial agreements, including but not limited to:
- Supplier and vendor agreements
- Customer agreements
- Distribution and logistics agreements.
- Technology and licensing agreements.
- Non-disclosure agreements (NDAs)
- Advising internal stakeholders on contractual interpretation, risk assessment, and dispute resolution.
- Managing corporate governance matters, including maintaining corporate records, minute books, and organizational documents.
- Ensuring the company's compliance with relevant state and federal laws and regulations.
- Assisting in the development and implementation of internal policies and compliance training programs.
- Providing legal advice and support to the Human Resources department on a broad range of employment law matters.
- Assisting in the drafting, review, and implementation of employment policies, employee handbooks, and separation agreements.
- Advising on legal risks related to hiring, termination, disciplinary actions, wage and hour issues, discrimination claims, and workplace investigations.
- Staying current on changes in federal, state, and local labor and employment laws (e.g., FLSA, ADA, FMLA, OSHA) and ensuring company compliance.
